INFRATEL Cloud Terms of Service
INFRATEL provides cloud infrastructure and related services under these Terms, together with the Service Level Agreement (SLA), Acceptable Usage Policy (AUP) and any signed Service Orders. By signing a Service Order, creating an account or using the services, the customer agrees to these conditions.
Services and Customer Duties
The Terms cover all cloud services, support and infrastructure ordered via a Service Order, with fees structured as setup (one‑time), recurring (billed in advance) and usage‑based charges. Customers are responsible for their content and data, account security, compliance with laws and the AUP, and for meeting any industry or regulatory obligations relevant to their use (including disclosure if processing cardholder or other sensitive data).
Billing, Suspension and Termination
Recurring fees are fixed for the initial contract term, billed in advance, and may change at renewal; late payment attracts interest, and any service credits apply as future fee credits, not cash refunds. INFRATEL may suspend or terminate services for non‑payment, policy violations, security threats or legal orders, and early termination by the customer may incur early termination fees with no refunds for unused time.
Liability, Indemnity and IP
Services are provided with limited warranties as per the SLA and otherwise “as is,” with INFRATEL’s liability capped to recent fees paid and excluding indirect or consequential losses. Each party indemnifies the other for losses arising from its gross negligence, wilful misconduct or certain legal infringements, and each retains ownership of its own intellectual property while customers obtain no ownership of INFRATEL hardware or IP addresses.
Governance and Key Policies
Both parties must protect Confidential Information, and customers must follow anti‑abuse and anti‑spam rules, identity verification requirements, and the prepaid, non‑refundable billing model. The agreement is governed by Zambian law, with formal notice and claim deadlines specified, and the written Terms, SLA, AUP and referenced documents together form the entire agreement between the customer and INFRATEL.
